What needs to be done after registering a company in Poland?
All of these important steps are always handled by our accountants, but you are required to be aware of them.
First, you must file the PCC-3 declaration – tax on civil-law contracts in the amount of 0.5% of your company's share capital;
NIP-8 declaration – registering the company as a taxpayer with the tax office.
Within 21 days of registration you must also send a completed NIP-8 form to the tax office competent for the place of registration, containing information about the company, its bank account, and its accounting firm. The same document is filed for the purpose of keeping your company's accounts in the so-called register (Biała Lista).
Registration in CRBR
Required within 7 (seven) business days of registration: information about the ultimate beneficial owners of the Polish company must be reported to a special register. This is a significant point, as the law provides for a financial penalty (up to 1 million zł) for failure to comply. To submit information to the beneficiary register, the manager must provide their NIP, PESEL, and an EPUAP digital signature, or obtain a qualified digital signature.
Other obligations
Every company must open a bank account. To do so, the manager must appear in person at a bank branch to complete the necessary documents and enter into an agreement. You need to bring your passport and a KRS extract for the newly formed company.
Obtaining an EORI certificate
This is a number assigned to businesses for customs purposes when registering with the Economic Operator Registration and Identification system. The main purpose of the EORI system is to speed up customs procedures for legal and natural persons conducting business activity within the EU or participating in customs operations.
VAT-R / VAT-UE declaration – to register the business as a VAT payer for international trade and provision of services. However, this process is not fast and will require your involvement in answering the inspector's questions.
During the company registration process, KRS may request additional documents or information from you. Or they may find an error in the submitted documents. In such cases, the registrar will send you a letter to your registered address. If you don't receive it in time, registration may be delayed.
Immediately after submitting the registration documents, you should conclude an agreement with a "virtual office" to ensure normal handling of correspondence for the new company.
